These terms apply to your use of digitalconverzion.com and to the services provided by Digital Converzion ("we", "us", "our"). By using our website or engaging our services, you ("the client", "you") agree to these terms. Any signed proposal or agreement with you will take priority over these terms where they differ.
1. Agreement
A project or retainer begins once you accept our written proposal or quotation (by email, signature or payment of the first invoice). The proposal sets out the scope, deliverables, timeline and fees for your engagement.
2. Our services
We provide website development, Meta Ads management, search engine optimisation, social media marketing, branding and related digital marketing services. Work outside the agreed scope will be quoted separately before we start it.
3. Proposals, fees & payment
- Quotations are valid for 30 days unless stated otherwise.
- Website and branding projects usually require an advance payment before work begins, with the balance due before launch or final file delivery.
- Monthly retainers are billed in advance at the start of each month.
- Invoices are payable within 7 days. Applicable taxes, including GST, are charged in addition to our fees.
- We may pause work on overdue accounts until payment is received.
4. Your responsibilities
To keep projects on time, you agree to provide content, feedback, approvals and account access promptly. You confirm that any material you give us (text, images, logos, product information) is yours to use or that you have permission to use it. Delays in feedback may move agreed timelines.
5. Advertising spend
Advertising budgets for Meta, Google or other platforms are separate from our management fees and are paid directly by you to the platform, from accounts owned by you. Advertising platforms set their own policies, and we are not responsible for platform decisions such as ad rejections, account restrictions or changes in pricing.
6. Results
We use proven strategies and our best professional effort on every project. However, marketing results depend on many factors outside our control, including market conditions, competition, platform algorithms and your product or offer. We therefore do not guarantee specific rankings, traffic, leads, sales or return on ad spend.
7. Ownership & intellectual property
Once all invoices for a project are paid in full, you own the final deliverables we create specifically for you, including your website design, code and brand assets. Third-party items such as stock images, fonts, plugins and themes remain subject to their own licences. We may show completed work in our portfolio unless you ask us not to in writing.
8. Confidentiality
We keep your business information, account access and data confidential and use them only to deliver our services. Please also see our Privacy Policy.
9. Cancellation
Monthly retainers can be cancelled with 30 days' written notice. For one-off projects, if you cancel after work has started, fees for the work completed up to that point remain payable, and any advance paid is non-refundable to the extent it covers work already done.
10. Limitation of liability
To the extent permitted by law, we are not liable for indirect or consequential losses, such as loss of profit, data or business opportunity. Our total liability for any claim relating to our services is limited to the fees you paid us for the specific service in the three months before the claim.
11. Use of this website
The content on this website is for general information only. You may not copy or reuse our content, design or code without permission. We may update the website and these terms at any time.
12. Governing law
These terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.
